Corporate Governance

Good governance is critical to ensuring the trust and confidence of our stakeholders in Usha as a publicly traded company.  Every aspect of our company follows the principles of transparency and integrity.

To this end, our board of directors have been empowered to exercise their business judgment in a manner consistent with their fiduciary duties in order to provide appropriate governance and stewardship to the Company. Our directors are mandated to act honestly and in good faith with the best interests of the company and its shareholders in mind, exercising their judgement with skill, diligence, and care.

Our board consists of five members, four of which are independent and one of which is a member of management.  We also have a standing Audit Committee comprised exclusively of independent members of the board, the roles and responsibilities of which are set out in its Board-approved written Charter.
